Cerenome secures $20m royalty-based facility to scale CNSide platform

The Houston CNS oncology company said the senior secured facility extends its cash runway into 2028 and funds commercial scale-up of its CSF assay

Cerenome has entered into a senior secured financing agreement with 3i Fund for up to $20 million, with repayments structured on a royalty basis rather than fixed debt service. The Nasdaq-listed company received an initial tranche at closing, with further tranches available upon achieving undisclosed milestones. The company said the arrangement extends its forecasted cash runway into 2028.

The proceeds are earmarked for commercial scale-up of CNSide, Cerenome's cerebrospinal fluid assay platform, which is designed to detect, molecularly characterise, and longitudinally monitor central nervous system cancers through CSF-based testing. CNSide is commercialised through CNSide Diagnostics, LLC, a wholly owned subsidiary.

The deal

Andrew Sims, Cerenome's chief financial officer, said the facility was "designed to be minimally dilutive to stockholders" and would support both sales growth and pipeline broadening for the CNSide platform. He added that the 2028 runway projection incorporates the 3i facility alongside existing credit lines, current cash, and forecasted CNSide-related revenues. Royalty-based financing has grown in popularity among diagnostics and life sciences companies as an alternative to equity dilution or conventional debt. Rather than paying fixed interest, borrowers share a percentage of future revenues with the lender, which can preserve capital during growth phases but creates a long-term revenue drag once commercial traction improves. For Cerenome, the structure signals confidence in CNSide's near-term revenue trajectory while limiting dilution to existing shareholders.

Market context and competitive landscape

Liquid biopsy and CSF-based diagnostics represent one of the more actively contested areas of precision oncology. Several companies are pursuing CSF analysis for CNS cancers, including leptomeningeal metastases, a complication that is historically difficult to monitor with standard imaging. Cerenome's platform is differentiated by its focus on quantitative CSF cell analysis, though it competes for clinical adoption against plasma-based liquid biopsy approaches being advanced by larger diagnostics players, where sample accessibility is a practical advantage.

Cerenome's broader platform also encompasses REYOBIQ (rhenium Re186 obisbemeda), a targeted radiotherapy agent in clinical trials for leptomeningeal metastases, recurrent glioblastoma, and paediatric brain cancers. The company's stated ambition is to integrate diagnostics, therapeutics, and AI-driven data into a single CNS oncology platform, a model that mirrors strategies pursued by several oncology companies seeking to combine companion diagnostics with targeted treatments.

The near-term investor focus will be on CNSide testing volumes and reimbursement progress, which underpin the revenue forecasts cited to justify the royalty structure. Milestone definitions for future tranches have not been publicly disclosed, leaving some uncertainty about the pace of additional drawdowns. Regulatory and reimbursement developments for laboratory-developed tests in the US, particularly under ongoing FDA oversight frameworks for LDTs, represent a material external variable for the company's commercial trajectory.
