Trinity Biotech faces Nasdaq delisting risk amid diagnostics overhaul
Trinity Biotech (Nasdaq: TRIB) has confirmed it received a staff determination letter from Nasdaq on 28 August 2026, notifying the company that it failed to regain compliance with the exchange's minimum market value of publicly held shares (MVPHS) requirement of $15 million by the 18 August deadline. The Dublin-headquartered diagnostics company says it intends to request a hearing before a Nasdaq Hearings Panel, a move that automatically stays any suspension or delisting action while the process is under way.
The company was originally notified of the deficiency in February 2026 and granted a 180-day extension to regain compliance. Management says it has "a number of initiatives and strategic transactions at advanced stages" that, if completed, would bring the MVPHS above the $15 million threshold, though no specific transactions were named. The Panel may grant a further extension running to no later than 24 February 2027, though Trinity acknowledged there is no guarantee it will ultimately retain its Nasdaq listing.
Operational progress alongside listing uncertainty
Despite the listing overhang, Trinity reported a range of operational developments. The company has completed the rollout of an upgraded high-capacity HbA1c column system for its FDA-cleared Premier Hb9210 analyser in three of its largest international markets. The upgraded column is said to deliver up to four times the testing throughput of the prior generation, with reduced calibration requirements, a meaningful productivity gain for clinical laboratories processing high volumes of diabetes monitoring tests.
On manufacturing, Trinity said it has completed production of approximately nine million TrinScreen HIV rapid tests under a newly adopted outsourced manufacturing model, and has begun applying the same structure to its Uni-Gold HIV product. The World Health Organization-approved Uni-Gold franchise carries a strong order book, though the company cautioned that revenue could be uneven quarter to quarter during the ramp-up period as supply chains stabilise.
Trinity also appointed Jordi Romero as Head of Commercial Operations for Europe, citing his background in haemoglobin diagnostics sales. The hire is framed as part of a broader effort to accelerate growth in international markets.
PrePsia pipeline and IP position
On the pipeline side, Trinity received a ninth granted patent covering its PrePsia early preeclampsia prediction platform, this time a European grant related to blood pressure metrics incorporated into the test's algorithm. The company intends to launch PrePsia through its existing New York State Department of Health-approved reference laboratory, though no launch timeline was given.
Preeclampsia affects an estimated two to eight per cent of pregnancies globally and remains underserved by commercially available early-screening tools. A number of academic spinouts and larger diagnostics players are active in maternal health biomarker research, making the strength and breadth of Trinity's nine-patent estate a meaningful differentiator if the platform reaches commercial scale.
Market context
Trinity's position reflects a broader challenge facing smaller diagnostics companies: the cost of maintaining a listed structure, investing in product development, and funding commercial expansion simultaneously can strain balance sheets that lack the buffer of a blockbuster franchise. The HIV rapid-test segment, while strategically important for global health, is subject to funding variability from US government procurement and distributor inventory cycles, as Trinity itself flagged in its risk disclosures.
Investors and partners will focus on whether the undisclosed strategic transactions mentioned by management can close ahead of the Panel hearing, and whether the PrePsia programme can be positioned as a growth catalyst capable of attracting partnership interest or additional capital. The outcome of the Nasdaq hearing, expected within the six-month window, will be the most closely watched near-term milestone.
