Lifecore Biomedical to go private in $664m Webster Equity deal
Lifecore Biomedical has agreed to be taken private by healthcare-focused private equity firm Webster Equity Partners in a deal valued at up to $663.7 million, assuming full achievement of revenue and EBITDA milestones through 2030. The Chaska, Minnesota-based contract development and manufacturing organisation (CDMO) confirmed the transaction on 28 September 2026.
Common stockholders will receive $6.28 per share in cash at closing, a 49.5% premium to Lifecore's closing price on 25 September 2026, the last full trading day before signing. Each shareholder will also receive one non-tradable contingent value right (CVR). If all three performance milestones are hit, the combined per-share value reaches $9.67, representing a premium of approximately 130% to the pre-announcement price.
Deal structure and milestones
The CVR programme is structured around three separate thresholds. A $30 million aggregate payment is contingent on 2028 revenue targets; a further $45 million on 2029 revenues; and an $85 million tranche on consolidated EBITDA of at least $120 million in 2030. The 2029 tranche includes a catch-up provision for any shortfall in the 2028 payment. In total, CVR holders stand to receive up to $160 million in aggregate cash, though achievement cannot be assured.
Financing has been secured via a debt commitment from MidCap Financial Trust, MSD Partners and Alcon Research, alongside an equity commitment from Webster Equity Partners funds. Alcon Research's presence in the debt syndicate is notable given that Alcon is also named as a customer benchmark in the CVR revenue milestones, reflecting the pharmaceutical firm's longstanding relationship with Lifecore as a key hyaluronic acid supply partner.
The merger agreement contains a 30-day go-shop period, during which Lifecore may solicit competing bids. The board has unanimously recommended the transaction but retains the right to pivot to a superior proposal under standard fiduciary terms. Closing is expected before the end of Q4 2026, subject to stockholder approval and regulatory clearance.
Market context
Lifecore occupies a specialist niche within the broader CDMO market: injectable-grade hyaluronic acid fill-finish, where it claims more than 40 years of manufacturing heritage. The global CDMO sector has seen sustained consolidation over recent years, as pharmaceutical and biotech sponsors seek partners with validated sterile-fill capabilities and regulatory track records. Demand for prefilled syringe and cartridge manufacturing in particular has grown alongside the adoption of biologics and combination products.
Webster Equity Partners describes itself as focused exclusively on healthcare services and middle-market businesses, an orientation that differs from the large strategic acquirers that have driven much of the CDMO consolidation wave. Taking Lifecore private removes the quarterly reporting pressure of a Nasdaq listing and could allow the business to pursue the multi-programme commercialisation push that management is flagging for the 2026-to-2028 window without the volatility of public markets.
For sector observers, the key near-term indicator will be whether the go-shop period surfaces a higher competing bid and whether the CVR milestones, particularly the 2028 revenue threshold that requires meaningful contribution from non-Alcon customers, prove achievable as Lifecore diversifies its client base.
