Ambros and Werewolf merge to advance neridronate in CRPS-1
Ambros Therapeutics and Werewolf Therapeutics (Nasdaq: HOWL) have signed a definitive merger agreement to combine in an all-stock transaction, creating a late-stage biotechnology company focused on advancing neridronate for Complex Regional Pain Syndrome Type 1 (CRPS-1). The deal is accompanied by an oversubscribed $150 million private placement co-led by RA Capital Management and Janus Henderson Investors, with further participation from a syndicate that includes Aberdeen Investments, Adage Capital Partners, Balyasny Asset Management, Patient Square Capital's Enavate Sciences platform and Woodline Partners, among others.
Upon closing, expected in the first quarter of 2027, the combined entity will operate as Ambros Therapeutics, headquartered in San Diego, and trade under the Nasdaq ticker "AMBX". Existing Ambros stockholders will own approximately 71.7% of the combined company, private placement investors around 21.5%, and legacy Werewolf shareholders the remaining 6.8%, based on an implied Ambros valuation of $500 million and an implied Werewolf valuation of $47.5 million. Werewolf shareholders outside the placement will also receive a contingent value right tied to any proceeds from the disposal of Werewolf's legacy assets.
The deal and the drug
Neridronate is a bisphosphonate originally developed by Italian firm Abiogen Pharma and already approved in Italy for CRPS, osteogenesis imperfecta and Paget's disease, with an estimated 600,000 patients treated across those indications. In the United States it holds FDA Breakthrough Therapy, Fast Track and Orphan Drug designations for CRPS-1, and the FDA has indicated that a single successful pivotal trial could potentially support an approval, a meaningful regulatory accommodation that reduces the capital and time burden for Ambros.
The pivotal CRPS-RISE Phase 3 trial is a multicenter, randomised, triple-blind, placebo-controlled study in approximately 270 patients with warm-phase CRPS-1, defined using triple-phase bone scan positivity and the Budapest Clinical Criteria. Participants receive four intravenous infusions of 100 mg neridronate or placebo over ten days, with the primary endpoint measuring pain intensity change from baseline to week 12 on an 11-point numerical rating scale. Topline data are anticipated in 2028, and the $150 million raise is sized to fund operations through that readout and a subsequent NDA submission, with cash runway projected into the first half of 2029.
Jay Hagan, who becomes chief executive of the combined company, said the financing "positions us to deliver value on behalf of patients, investors and all other stakeholders" through what he described as an FDA-aligned single-trial path to approval.
Market context and regulatory read-across
CRPS-1 affects an estimated 65,000 newly diagnosed patients in the United States each year and currently has no FDA-approved pharmacological treatment, placing it firmly in the high-unmet-need category that regulators and investors have found attractive in recent years. The Orphan Drug designation offers seven years of US market exclusivity on top of Ambros's stated intellectual property runway, which the company says extends to 2045, a combination that may help justify the $500 million pre-money valuation assigned to an asset that has not yet read out pivotal data in a US regulatory context.
The bisphosphonate class is well-characterised, which gives neridronate a safety credibility advantage over novel mechanisms entering pain indications. However, CRPS is a heterogeneous condition, and the precision medicine design of CRPS-RISE, restricting enrolment to warm-phase, bone-scan-positive patients, will limit the addressable label if approved and may complicate commercial uptake in a specialist market where CRPS is already underdiagnosed. The extent to which real-world prescribers can reliably identify trial-eligible patients will be a key commercial question once regulatory outcomes are known.
For Werewolf, the deal effectively closes down its immuno-oncology INDUKINE platform in exchange for a share of a late-stage, de-risked rare-disease asset, a pivot that reflects the difficulty smaller immuno-oncology platforms have faced in attracting standalone financing in the current market environment.
